This past May, the Subchapter S Bank Association hosted its Regional Conferences, titled A Practical Guide to Managing your Sub S Institution. A series of three conferences were held in Dallas, Chicago and Minneapolis from May 13-15. The Regional Conferences are a new educational event offered by the Association and, according to our attendees, they were very well received. The presenters included Randy K. Rouse, the Chief Investment Officer and Executive Vice President of Broadway Bancshares, Inc., Patrick J. Kennedy, Jr., President of the Subchapter S Bank Association and a partner in the law firm of Kennedy & Baris, LLP, and Bruce E. Toppin, III, the Executive Director of the Subchapter S Bank Association and an associate at the law firm of Kennedy & Baris, LLP.
The topics of discussion included: shareholder reporting methods; dividend payment strategy and policy; management of shareholders and share transfers; strategies for effective investment planning; director shares and restricted bank director stock; executive compensation strategies; the benefits of Subchapter S beyond avoiding double taxation; and concluding with a question and answer session. Healthy audience participation greatly enhanced the quality of the presentations and identified a number of concerns that Sub S banks, their management and shareholders are facing in today’s changing economic environment.
